Terms of Service

Version 2026-10-02 · Sailyachts LLC, trading as DEEP Nautical

01About DEEP and these terms

DEEP is a software platform for the superyacht industry provided by Sailyachts LLC, a Florida limited liability company trading as DEEP Nautical ("DEEP Nautical", "we", "us"). These Terms of Service ("Terms") govern access to and use of DEEP, including app.deepnautical.co, deepnautical.co, client pages, the crew and guest app, websites hosted by DEEP and any related service (together, the "Service").

By creating an account, ticking the box to accept these Terms, paying for a plan or using the Service, the company you represent ("you", the "Customer") agrees to these Terms. You confirm that you have authority to bind that company. The Service is for business use only and is not offered to consumers.

02Accounts and users

You are responsible for your account, the users you invite and everything done under your account. Keep sign-in details secure, keep account information accurate, and tell us promptly at the address below if you suspect unauthorised access.

Each plan includes a number of users. Logins are personal and may not be shared.

03Plans, fees and payment

Plans, prices and what each plan includes are shown on deepnautical.co and in Billing inside DEEP. Fees are charged in advance, monthly or yearly, through our payment provider Stripe, and renew automatically for the same period until cancelled.

Prices exclude taxes, duties and bank charges, which are your responsibility where they apply. New companies start with a free trial of the length shown at sign-up; a payment card is required, and the plan starts and is charged when the trial ends unless it is cancelled before. Introductory offers apply only as stated and only while they run. Changing plan, the number of yachts or brands takes effect immediately and is charged or credited pro rata.

We may change prices with at least 30 days' notice; a change applies from your next renewal. Fees already paid are not refundable, including for unused time, except where the law requires otherwise or we agree in writing.

04Unpaid fees

If a payment fails, we will try again and tell you inside DEEP. If fees remain unpaid or a plan ends, your account becomes read-only for 30 days and access is then locked until a plan is active again. Client-facing links may continue to work during this period at our discretion.

05Cancellation and your data

You can cancel at any time from Billing. Cancellation takes effect at the end of the period already paid. We keep your data for at least 90 days after your plan ends so that you can return or ask for an export; after that we may delete it. We may suspend or end access if you seriously or repeatedly breach these Terms, or if required by law.

06Your content

You own the content you put into DEEP, including listings, photos, documents, client details and receipts ("Customer Content"). You give us a worldwide, non-exclusive licence to host, copy, process and display Customer Content only as needed to provide and improve the Service, and to show it where you choose to publish it (for example your website, client pages and social posts).

You are responsible for Customer Content and for having the rights and permissions it needs, including photographs, brochures and personal data of your clients, crew and guests. Do not upload content you are not allowed to use.

07Market data and figures

Market data, prices, comparisons, positions, estimates, P&Ls, budgets and any other figures in DEEP ("Market Data") are compiled from public and third-party sources and from modelled estimates. They are provided for information only and may be incomplete, inaccurate, delayed or out of date. Positions come from AIS signals and may be missing or wrong.

Market Data is not a valuation, survey, appraisal, offer or recommendation, and it is not financial, legal, tax, investment or brokerage advice. You must check every figure independently before relying on it or passing it on, and you remain fully responsible for any decision, price, proposal or advice you give to clients or third parties.

To the fullest extent permitted by law, we accept no liability for any loss arising from the use of, or reliance on, Market Data, including any lost sale, charter, commission or opportunity.

You may use Market Data inside your own business and in client work through the features DEEP provides. You may not resell, redistribute or publish it in bulk, build a competing database from it, or extract it by scraping or automated means.

08DEEP assistant and automated reading

Parts of the Service use artificial intelligence, including the DEEP assistant, the reading of receipts, brochures and documents, and the drafting of text and designs. Output may be inaccurate or incomplete and must be checked before it is relied on or sent to anyone. We do not use Customer Content to train AI models.

09Acceptable use

You must not: use the Service unlawfully or to infringe anyone's rights; send spam or misleading material; try to access another company's data or our systems without permission; probe, overload or disrupt the Service; copy, reverse engineer or resell the Service; or let anyone outside your company use your account except clients and crew through the links DEEP provides.

10Custom websites and services

Custom website design, managed marketing and other services are agreed separately in a written quote or order, which these Terms supplement. A website built and hosted by DEEP stays online while your subscription for it is active. You are responsible for the content you publish on it.

11Availability and changes

We work to keep the Service available and secure but do not promise that it will be uninterrupted or error-free. We may carry out maintenance and change, add or remove features. If we remove a feature that is central to your plan, we will tell you in advance where we can.

12Privacy and security

We process personal data in Customer Content on your behalf and only to provide the Service. We use appropriate technical and organisational measures to protect it, store receipts and crew photos in the data region set for your company, and use carefully chosen providers (including Cloudflare, Stripe, Anthropic and Resend) to run the Service. You are responsible for having a lawful basis to share personal data with us.

13No warranties

The Service, including Market Data, is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, express or implied, including fitness for a particular purpose, accuracy and non-infringement.

14Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, commission, business, goodwill or data. Our total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law.

15Your responsibility to us

You will defend and indemnify us against claims by third parties arising from Customer Content, your use of the Service in breach of these Terms, or advice and information you give to your clients.

16Changes to these Terms

We may update these Terms. We will tell you about material changes by email or inside DEEP at least 30 days before they apply. Continuing to use the Service after that date means you accept the updated Terms.

17Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The courts located in Palm Beach County, Florida have exclusive jurisdiction, except that either party may seek urgent relief in any competent court.
